Terms of Service.

These Terms of Service ("Terms") are a binding agreement between you and House of Ichigo S.A.S. (a société par actions simplifiée), registered in France under number 900 030 453 (RCS Auxerre), with its registered office at 8 route départementale 606, 89270 Voutenay-sur-Cure, France ("House of Ichigo", "we", "us"). By accessing or using houseofichigo.com (the "Site"), you confirm that you accept these Terms and have the authority to do so on behalf of any organisation you represent.

The Site provides information about House of Ichigo and its three practices — Academy, Advisory, and Solutions — and lets you contact us. The Site is informational; it does not, by itself, provide the paid services. Any services we provide are delivered under a separate written engagement contract.

We may change, suspend, or withdraw any part of the Site at any time without notice. We are not liable if the Site is unavailable at any time or for any period.

Requests submitted through the Site (for example via the contact form) are inquiries only and do not create a contract. A professional engagement is formed only when we and you sign a written proposal, statement of work, or services agreement (the "Engagement Contract").

Where these Terms and an Engagement Contract conflict, the Engagement Contract prevails for that engagement. The Engagement Contract sets the scope, fees, timelines, deliverables, and any data-processing terms that apply to the work.

When using the Site, you agree not to:

• Use the Site in any unlawful way or for any unlawful purpose;
• Attempt to gain unauthorised access to the Site, its servers, or any connected systems;
• Introduce malware or otherwise interfere with the proper working of the Site;
• Scrape, harvest, or collect data from the Site without our written permission;
• Misrepresent your identity or your authority to act for an organisation; or
• Use the Site in a way that could damage, disable, or impair it or interfere with anyone else's use.

You are responsible for the accuracy of the information you submit to us through the Site.

The Site and its content — including text, design, logos, the House of Ichigo name and brand, the methodology and frameworks described, and all related intellectual property — are owned by House of Ichigo or its licensors and are protected by applicable law. You may view and print Site content for your own informational use, but you may not copy, reproduce, republish, or exploit it commercially without our prior written consent.

Ownership of deliverables created during a paid engagement is governed by the Engagement Contract. Unless that contract says otherwise, our pre-existing methods, tools, templates, and know-how remain our property, and you receive the rights to the specific deliverables set out in that contract.

Confidential information exchanged during an engagement is protected under the confidentiality terms of the Engagement Contract (and any separate non-disclosure agreement). This website section does not replace those terms. Please do not send us confidential or sensitive information through the contact form; share it only through the agreed, secure channels once an engagement is in place.

The Site is provided "as is" and "as available". To the fullest extent permitted by law, we make no warranties of any kind regarding the Site, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

Site content is provided for general information only and does not constitute legal, financial, technical, or professional advice. To the fullest extent permitted by law, House of Ichigo will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of the Site.

Nothing in these Terms excludes or limits our liability where it would be unlawful to do so — including liability for death or personal injury caused by negligence, or for fraud. Liability arising from a paid engagement is governed by the limitation-of-liability provisions of the Engagement Contract. You agree to indemnify and hold House of Ichigo harmless from any claims, losses, or expenses (including reasonable legal fees) arising from your unlawful use of the Site or your breach of these Terms, to the extent permitted by applicable law.

We may suspend or restrict your access to the Site at any time if you breach these Terms or if we reasonably believe it is necessary to protect the Site or others. Termination of access to the Site does not affect any rights or obligations that arose before termination, or any ongoing Engagement Contract, which is governed by its own terms.

These Terms are governed by the laws of France. Subject to the dispute-resolution section below and to any mandatory consumer-protection rules that may apply, the courts of [COMPETENT FRENCH COURT — e.g. the courts within the jurisdiction of your registered office] have exclusive jurisdiction over any dispute relating to the Site or these Terms.
